1. Acceptance of Terms, Who We Are, and Definitions

1.1 Acceptance

By accessing or using the MemorableCV website and web application (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms constitute a binding agreement between you and MemorableCV ("MemorableCV", "we", "us", "our"), a sole proprietorship operated in South Africa.

1.2 Who We Are

MemorableCV is a sole proprietorship based in South Africa, reachable at:

1.3 Definitions

In these Terms:

• "Service" means the MemorableCV web application, website, and all related features and tools.
• "Account" means a registered user account on the Service.
• "Pass" means a time-limited subscription access product (1-Day, 7-Day, or 30-Day) that unlocks premium features.
• "Credits" means consumable units that are used each time certain AI features are exercised (cover letter generation, AI text rewrites, job-match comparisons).
• "AI Features" means the artificial intelligence-powered tools within the Service, including AI-generated cover letters, CV-to-job-description matching and scoring, and AI rewriting of CV fields.
• "CV Content" means any text, data, or information you enter into or upload to the Service to create or edit a CV or résumé.
• "User", "you", "your" means the individual accessing or using the Service.
• "ZAR" means South African Rand.
• "POPIA" means the Protection of Personal Information Act 4 of 2013.
• "CPA" means the Consumer Protection Act 68 of 2008.
• "ECTA" means the Electronic Communications and Transactions Act 25 of 2002.

2. Eligibility and Accounts

2.1 Age Requirement

You must be at least 18 years of age to create an Account or use the Service. By using the Service, you represent and warrant that you are 18 or older. If you are under 18, you may not use the Service.

2.2 Account Registration

To access certain features, you must register for an Account using a valid email address. You agree to:

• Provide accurate, current, and complete information when registering
• Maintain and promptly update your account information to keep it accurate
• Keep your login credentials confidential and not share them with anyone
• Notify us immediately at support@memorablecv.com if you suspect unauthorised access to your Account

2.3 Account Responsibility

You are responsible for all activity that occurs under your Account. MemorableCV is not liable for any loss or damage arising from your failure to maintain the security of your credentials.

2.4 One Account Per User

You may register one Account per individual. Creating multiple Accounts to circumvent restrictions, bypass payment, or abuse free credit allocations is prohibited.

3. Description of the Service

MemorableCV provides an online CV and résumé builder with the following core functionality:

• CV Builder: Import an existing CV by uploading a PDF (which is parsed and discarded — see our Privacy Policy) or by pasting structured data, or start from a blank template. Edit your CV inline using our editor.
• Templates: Choose from a selection of CV templates. Premium templates are unlocked with an active Pass.
• PDF Export: Download your completed CV as a PDF. PDF export requires an active Pass.
• AI Features (credit-based):
• AI Cover Letter Generator: Generate a tailored cover letter from your CV content and a job description.
• CV-to-Job-Description Matching: Score and compare your CV against a job posting to identify alignment and gaps.
• AI Field Rewriter: Rewrite individual CV sections (such as your professional summary or job descriptions) using AI suggestions.

Free accounts receive a one-time allotment of credits upon registration, which may be used to try AI Features without a purchase.

We reserve the right to modify, expand, or discontinue features of the Service at any time, subject to Section 14.

4. Passes, Credits, and Payments

4.1 Passes

Passes grant time-limited access to premium features, including premium templates and PDF export:

• A Pass becomes active immediately upon purchase.
• The Pass period begins at the moment of activation and expires at the end of the stated duration, regardless of how much of that time you actually use the Service.
• Passes do not auto-renew. When a Pass expires, access to premium templates and PDF export is suspended until a new Pass is purchased.
• Any premium-template CV data you have saved to your Account remains accessible after a Pass expires; you simply cannot export new PDFs or access premium templates until you purchase a new Pass.

4.2 Credits

Credits are consumable units used to access AI Features:

• Each AI Feature use (cover letter, AI rewrite, job-match comparison) consumes one or more credits per use.
• Credits are purchased as part of a Pass package or may be available as standalone top-ups (where offered).
• Credits do not expire while your Account is active.
• A free Account receives a one-time allocation of credits upon registration. This allocation is granted once and is not renewed or refunded.

4.3 Payment

All purchases are made in South African Rand (ZAR) and are processed through Yoco, our payment gateway. Accepted payment methods include:

• Credit and debit card
• Google Pay

All prices displayed on the Service are inclusive of VAT (where applicable at the prevailing rate). MemorableCV does not store your payment card details — see our Privacy Policy and Yoco's terms for details on how payment data is handled.

A transaction confirmation will be sent to your registered email address upon successful purchase.

4.4 Refund Policy

We want you to be satisfied with your purchase. Please read the following refund policy carefully before purchasing.

General principle — digital goods: Passes and credits are digital products that are activated and consumed immediately upon purchase. As a general rule, once a Pass has been activated or credits have been used, they are non-refundable, except as provided below.

Exceptions — where a refund or remedy may be available:

• Service failure: If MemorableCV fails to deliver the service you paid for (for example, a technical fault that prevents you from accessing premium features during your Pass period and that we are unable to resolve within a reasonable time), you may be entitled to a remedy, which may include a refund, credit extension, or replacement, at our discretion.
• Consumer Protection Act (CPA): Nothing in these Terms limits rights you may have under the CPA where applicable. To the extent the CPA applies to your transaction, you may have rights to a refund, replacement, or repair in defined circumstances.
• ECTA cooling-off period: Section 44 of ECTA provides consumers with a right to cancel certain electronic transactions within 7 days of conclusion, without penalty, under specific conditions. Where this right applies to your purchase and you have not yet activated the Pass or used any credits, you may exercise this right by contacting us within the applicable period. Where the Pass has been activated or credits have been used prior to cancellation, the cooling-off right may not apply to the consumed portion.

How to request a refund: Contact us at support@memorablecv.com with your account email address, the date of purchase, the transaction reference (available in your confirmation email), and a description of the issue. We will review your request and respond within a reasonable time.

We reserve the right to decline refund requests that do not meet the criteria above or that appear to be abusive or fraudulent.

5. AI Features — Disclaimer and User Responsibility

5.1 Nature of AI-Generated Output

The AI Features in MemorableCV use large language model technology provided by third-party AI providers (via OpenRouter). AI-generated output is probabilistic and automated.

You acknowledge and agree that:

• AI-generated cover letters, rewrites, and job-match scores are generated automatically and may contain inaccuracies, errors, omissions, outdated information, or content that is not suitable for your specific situation.
• AI output does not constitute professional career advice, legal advice, or any other form of professional advice.
• MemorableCV makes no guarantee that use of AI Features will result in job interviews, employment offers, improved application outcomes, or any other specific result.
• The job-match score is a comparative tool only. It does not reflect the views of any employer and should not be treated as a definitive assessment of your suitability for any role.

5.2 Your Responsibility to Review

You are solely responsible for reviewing, editing, verifying, and approving all AI-generated content before using it in any job application or other context. Do not submit AI-generated content without first reading it carefully and ensuring it is accurate, truthful, and appropriate.

5.3 Data Sent to AI Providers

When you use AI Features, the relevant portions of your CV content and/or any job description you provide are transmitted to our AI provider (OpenRouter and downstream providers) to generate the output. See our Privacy Policy for details.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to create, store, or transmit content that is unlawful, defamatory, fraudulent, or that infringes any third party's rights
• Misrepresent your identity, qualifications, or employment history in a CV in a way that amounts to fraud or dishonesty
• Attempt to gain unauthorised access to any part of the Service, another user's Account, or our underlying systems
• Use automated tools, bots, scrapers, or scripts to access or extract data from the Service without our written permission
• Attempt to circumvent, disable, or reverse-engineer any payment mechanism, credit system, or access control within the Service
• Resell, sub-licence, or commercially exploit access to the Service or its outputs without our written permission
• Overload, disrupt, or impair the performance or security of the Service
• Upload or transmit malicious code, viruses, or harmful content

We reserve the right to suspend or terminate Accounts that violate this Section (see Section 13).

7. Intellectual Property

7.1 Your CV Content

You own your CV Content. These Terms do not transfer ownership of your CV Content to MemorableCV.

7.2 Licence You Grant to Us

By using the Service, you grant MemorableCV a limited, non-exclusive, royalty-free, worldwide licence to host, store, process, transmit, and display your CV Content solely to the extent necessary to provide the Service to you. This licence ends when you delete your CV Content from your Account or close your Account.

We do not claim ownership of your CV Content and will not use it for any purpose beyond operating and improving the Service, as described in our Privacy Policy.

7.3 MemorableCV's Intellectual Property

The Service — including its code, design, user interface, CV templates, branding, logos, and all associated materials — is owned by or licensed to MemorableCV and is protected by South African and international intellectual property law. You may not copy, reproduce, distribute, modify, or create derivative works of any part of the Service without our express written permission.

7.4 Feedback

If you submit feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without obligation to you.

8. User Content and Responsibility

8.1 Your Warranties Regarding Content

By uploading or entering CV Content into the Service, you represent and warrant that:

• The information is your own or you have the right to use it
• Your CV Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party
• Your CV Content does not contain unlawful content

8.2 Sensitive Personal Information

You may choose to include sensitive personal information in your CV (such as health information, disability status, or other categories of sensitive data). You do so at your own discretion and risk. We recommend including only information that you are comfortable disclosing to prospective employers and that is permitted to be requested in the context of job applications under applicable South African law.

8.3 Accuracy

MemorableCV is a formatting and productivity tool. We are not responsible for verifying the accuracy, truthfulness, or legality of the content you create. You are solely responsible for ensuring your CV is accurate and does not make false representations.

9. Third-Party Services

The Service integrates with and depends upon certain third-party services:

• Yoco: Payment processing. Your use of Yoco's payment services is subject to Yoco's own terms and privacy policy.
• Supabase: Authentication and backend infrastructure. Subject to Supabase's terms of service and privacy policy.
• OpenRouter and AI providers: AI feature processing. Subject to OpenRouter's and the relevant downstream provider's terms and policies.

MemorableCV is not responsible for the availability, conduct, or content of these third-party services. Any dispute with a third-party service provider should be directed to that provider.

10. Disclaimers and Warranties

To the fullest extent permitted by applicable law (including the CPA where it applies):

• The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.
• We do not warrant that the Service will be uninterrupted, error-free, virus-free, or meet your specific requirements.
• We do not warrant the accuracy, completeness, or fitness for purpose of any AI-generated output.
• CV templates are provided as general formatting aids and are not guaranteed to be compatible with all employer recruitment systems (including applicant tracking systems).

Nothing in this clause limits any rights you have under the CPA that cannot be contractually excluded. Where the CPA applies, you may have rights to quality services that cannot be waived. We honour those rights.

11. Limitation of Liability

11.1 Cap on Liability

To the maximum extent permitted by applicable South African law (including the CPA):

MemorableCV's total aggregate liability to you for any claim arising out of or in connection with these Terms or your use of the Service (whether in contract, delict, or otherwise) is limited to the total amount you paid to MemorableCV in the 6-month period immediately preceding the event giving rise to the claim, or R500, whichever is greater.

11.2 Exclusion of Indirect Damages

MemorableCV is not liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Service, including but not limited to:

• Loss of employment opportunity or failure to secure a job
• Loss of data (see Section 5 and the local-first storage model in our Privacy Policy)
• Loss of profit or revenue
• Reputational harm

11.3 CPA Reservation

Where the CPA applies to a transaction and grants you rights that cannot lawfully be excluded or limited, nothing in this Section overrides those rights. The limitations above apply only to the extent permitted by law.

12. Indemnity

You agree to indemnify, defend, and hold harmless MemorableCV, its officers, employees, and representatives from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with:

• Your breach of these Terms
• Your violation of any applicable law or regulation
• Your CV Content, including any claim that it infringes a third party's rights or contains false or misleading information
• Your misuse of AI Features or failure to review AI-generated content before use

13. Suspension and Termination

13.1 Termination by You

You may close your Account at any time by contacting us at support@memorablecv.com. Upon account closure:

• Your CV data saved to your Account will be deleted within a reasonable period (subject to legal retention obligations)
• Any unused Pass time and unused credits are forfeited and are generally non-refundable, except where a refund is required under Section 4.4 or applicable law
• CV data stored only in your browser (IndexedDB) will remain in your browser until you clear it

13.2 Suspension or Termination by Us

We may suspend or terminate your Account or access to the Service, with or without notice, if:

• You breach any provision of these Terms
• We detect fraudulent, abusive, or illegal activity associated with your Account
• We are required to do so by law or a competent authority

Where feasible and not contrary to law or security, we will give you reasonable notice before termination and an opportunity to remedy a breach.

13.3 Effect of Termination

Upon termination by us for your breach, any active Pass and unused credits are forfeited without refund. Termination does not affect any accrued rights or liabilities of either party.

13.4 Termination Due to Service Discontinuation

If we discontinue the Service entirely, we will provide reasonable advance notice (where practicable) and, where required by law, provide a fair remedy for unexpired Passes, which may include a prorated refund of the unexpired Pass period.

14. Changes to the Service and to These Terms

14.1 Changes to the Service

We may modify, update, add to, or remove features of the Service at any time. Where a change materially reduces the features available under an active paid Pass, we will take reasonable steps to notify you and will offer a fair remedy (such as an extension or partial refund for the affected period).

14.2 Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Effective date" at the top of this document
• Notify you by email (if you have an Account) or by a prominent notice on the website at least 14 days before the changes take effect for existing users

Your continued use of the Service after the updated Terms take effect constitutes acceptance of the revised Terms. If you do not accept the changes, you must stop using the Service and may close your Account before the effective date of the changes.

15. Governing Law, Dispute Resolution, and Jurisdiction

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa, including (where applicable) the CPA, ECTA, POPIA, and the common law of South Africa.

15.2 Dispute Resolution

If you have a complaint or dispute arising from these Terms or your use of the Service, we encourage you to contact us first at support@memorablecv.com so that we can try to resolve the matter informally.

If we cannot resolve a dispute informally, either party may refer the matter to a competent South African court. Nothing in this clause prevents you from approaching the National Consumer Commission or another relevant regulatory body where you have rights to do so under the CPA or other applicable legislation.

15.3 Jurisdiction

Subject to any mandatory provisions of the CPA or other applicable law, you agree that any legal proceedings arising out of or relating to these Terms or the Service will be brought in the courts of the Republic of South Africa, and you consent to the jurisdiction of those courts.
